NBA® 2K17 ALL-STAR TOURNAMENT
Official Rules

Contest may only be entered in or from the 50 United States (excluding Arizona, Connecticut, Maryland, and North Dakota), the District of Columbia, and Canada (excluding Quebec) and entries originating from any other jurisdiction are not eligible for entry. This Contest is governed exclusively by the laws of the United States and Canada (excluding Quebec).

1. How to Enter. To enter the “All-Star Tournament” (“Contest”) and compete in the Contest Tournament (“Tournament”), you (“Team Owner”) must compete as a team (“Team”) during a Contest qualifying round (“GameDay Qualifying Round” and each a “GameDay” or “Qualifying Round”) in a game (“Qualifying Game”) during the Contest Schedule set forth below in Section 3. The three (3) highest scoring Teams for Xbox One (XBO) and the three (3) highest scoring Teams for PlayStation 4 (PS4) on each GameDay that meet the eligibility requirements set forth below in Section 2 will be eligible to compete in the Tournament (each a “GameDay Qualifier”). For clarity, six (6) Teams will qualify on each GameDay (three (3) Teams from XBO and three (3) Teams from PS4). Additionally, one (1) Team from each platform with the highest single GameDay Total Score during the Qualifying Rounds that did not previously qualify for the Tournament from XBO and from PS4 (two (2) total Teams) will qualify for the Tournament (“Wild Card Qualifier”). To be eligible to qualify for the Tournament, Team Owner and individual Team Members must meet the eligibility requirements set forth in Section 2 below and:

  1. Own or have access to NBA 2K17 (“Game”).
  2. Own or have access to:
    • If playing on XBox One (XBO): a Gamertag and Xbox Gold Service.
    • If playing on PlayStation 4 (PS4): PSN ID and PS Plus service.
  3. Log on to his/her 2K “MyPLAYER” account (which is free) (“2K Account”).
  4. Create a Pro-Am Team with one (1) Team Owner and at least two (2) additional team members (each a “Team Member”) and achieve Elite Status with such Pro-Am Team as further described below prior to competing in a Qualifying Game during a GameDay Qualifying Round.
    1. A Pro-Am Team is created by choosing the Pro-Am menu from MyCAREER mode, selecting Own A Team, and inviting between two (2) and nine (9) other players to join as Team Members. A Team Owner may only have one (1) Pro-Am Team. A “Team Roster” consists of the Team Owner and the two (2) to nine (9) Team Members who have joined the Team. Team Members must accept the invitation to become an official Team Member, and they may voluntarily quit the Team at any time. However, Team Members may only be on one (1) Team at a time. Team/Team Owner can enlist from two (2) to nine (9) Team Members, all of whom must meet the eligibility requirements set forth in Section 2. Participation in a GameDay Qualifying Round requires three (3) to five (5) Team Members (one of whom may be the Team Owner) per Team per Qualifying Game. If there are less than five (5) Team Members (one of whom may be the Team Owner) on the Team, A.I. (computer-generated) players (“A.I. Team Members”) will fill out the Team as necessary. Team Members must be on the Team Roster prior to the start of a Qualifying Game in order to participate. Once the Qualifying Game has commenced, Team Members may not be substituted.
    2. The Team must have Elite or better status in order to compete in a Qualifying Round. Elite status is achieved by Pro-Am Teams based on a number of in-game performance criteria, including winning at least 20 games. Additional criteria include the Team’s winning percentage and the quality of the Team’s opponents. Pro-Am Teams receive an in-game acknowledgment upon reaching Elite status. Only Elite level Teams (and higher) will see the in-game menu option in Pro-Am mode that allows them to enter the Contest.
  5. Play at least one (1) Qualifying Game during a GameDay Qualifying Round in Pro-Am Mode as a Team.
  6. Win at least one (1) “Qualifying Game” (each a “Qualifying Win”) during a GameDay Qualifying Round. All Teams will be matched with one-on-one blind opponents. Teams/Team Owners will receive a score (“Score”) for each Qualifying Win based on a combination of Team Member Grade, Game Statistics, and Game Score. Scores of Team Owner’s Wins during a GameDay Qualifying Round will contribute to the Team/Team Owner’s Total Score on the Leaderboard for that GameDay. Team Scores for lost games will not contribute to the Team/Team Owner’s Total Score on the Leaderboard for that GameDay. Team/Team Owner’s Total Scores will be reset to zero (0) at the start of the next GameDay.
The Team/Team Owners with the three (3) highest Total Scores based on the Leaderboard for each platform at the end of each GameDay will qualify to compete in the Tournament (each a “Game Day Qualifier”) (subject to confirmation of eligibility). The Team Roster of a Game Day Qualifier will lock at the end of the Team’s last Qualifying Game on a Game Day (“Qualifying Team Roster”) and no changes may be made to the Qualifying Team Roster at the end of the GameDay. However, if a Game Day Qualifier has fewer than five (5) Team Members (including the Team Owner) on the Qualifying Team Roster, the Team Owner of such Game Day Qualifier may invite Team Members to join the Team until the Team includes five (5) Team Members (including the Team Owner) as further described in Section 5. Team Owners and Team Members on a Qualifying Team Roster may not participate in subsequent GameDays.

Sponsor has the right to use all Team names, logos and uniforms in its advertising, marketing and publicity materials, in its sole and absolute discretion. In addition, Sponsor has the right to require a Team to change its name, logo and/or uniform if such name, logo or uniform is deemed inappropriate or could violate the right of any third party, including, but not limited, to copyright, trademark or right of publicity or privacy, as determined by Sponsor in its sole discretion. Failure to comply with Sponsor’s request to change team name, logo and/or uniform in a timely manner may result in disqualification, in Sponsor’s sole and absolute discretion.

Teams/Team Owners may only play as one Team and on one account/Gamertag/PSN ID per GameDay, but can play multiple Qualifying Games throughout GameDay as the same Team/Team Owner. However, if a Team/Team Owner loses a Qualifying Game on a GameDay, such Team/Team Owner may no longer play any Qualifying Games on that GameDay. Teams/Team Owners and Team Members suspected of using multiple accounts/Gamertags/PSN IDs to play as multiple Teams or via multiple platforms throughout the GameDay will be subject to disqualification. While a Team/Team Owner must enlist at least three (3) Team Members to play a Qualifying Game, only the Team/Team Owner will be considered the “entrant” whose Total Score will be reflected on the Leaderboard and only the Team/Team Owner will be eligible to advance to the Tournament with his or her Qualifying Team Roster. While a Team Owner can play with different Team Members throughout a GameDay, only the Team/Team Owner’s Qualifying Wins and Leaderboard Total Score will be considered in the Contest and only the Team/Team Owner and eligible Team Members registered on the Qualifying Team Roster will qualify to advance to the Tournament. All aspects of this Contest are subject to these Official Rules.

No automated entry devices and/or programs permitted. All entries (including game play) become the sole and exclusive property of the Sponsor and receipt of entries will not be acknowledged or returned. Sponsor is not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries, which will be disqualified, or for problems of any kind whether mechanical, human or electronic. Proof of submission will not be deemed to be proof of receipt by Sponsor. By entering the Contest, Teams/Team Owners and Team Members fully and unconditionally agree to be bound by these rules and the decisions of the judges, which will be final and binding in all matters relating to the Contest.

2. Eligibility. Participation open only to legal residents of the 50 United States (excluding Arizona, Connecticut, Maryland, and North Dakota), the District of Columbia, and Canada (excluding Quebec), who are 13 or older as of date of entry. Void in Arizona, Connecticut, Maryland, North Dakota, and Quebec and where prohibited, taxed or restricted by law. Employees, officers and directors of 2K Games, Inc. (“Sponsor”), NBA Properties, Inc., the National Basketball Association and its member teams (collectively “the NBA Entities”), Microsoft, Sony Computer Entertainment America LLC, Twitch Interactive, Inc., (collectively, the “Sponsor Parties”) and their respective parent companies, subsidiaries, affiliates, partners, advertising and promotion agencies, manufacturers or distributors of Contest materials and their immediate families (parents, children, siblings, spouse) or members of the same household (whether related or not) of such employees/officers/directors are not eligible to enter. Subject to all applicable federal, Provincial, state and local laws and regulations.

3. Qualifying Contest Rounds.

The Qualifying GameDay Rounds will take place in accordance with the Contest Schedule below. The first Qualifying GameDay Round begins on December 31, 2016 at 9:00:00 am Pacific Time (“PT”) and ends at 6:00:00 pm PT (“First GameDay”) and the last Qualifying GameDay Round begins on January 28, 2016 at 9:00:00 am PT and ends at 6:00:00 pm PT (“Last GameDay”). Unless otherwise indicated below or by Sponsor, each Qualifying GameDay begins at 9:00:00 am PT and ends at 6:00:00 pm PT. There will be a total of five (5) Qualifying GameDays in accordance with the schedule below. The Team/Team Owners with one of the top three (3) Total Scores for each platform (top three (3) Teams on XBO and top three (3) Teams on PS4) on the GameDay Leaderboard for each platform on the Qualifying GameDay will qualify for the Tournament.

4. Leaderboard Score/Qualifying Games/Wins/Ties/Game Play.

Leaderboard Score: Teams/Team Owners will receive a score (“Score”) for each Qualifying Win based on a combination of Team Member Grade, Game Statistics, and Game Score. If A.I. Team Members are used, then such A.I. Team Members will contribute a Team Member Grade of C. All Qualifying Wins for which play is commenced and completed in accordance with these Official Rules shall count toward Team/Team Owner’s Total Score on the Leaderboard. Once a Team/Team Owner loses a game, they will be ineligible to play additional Qualifying Games on that GameDay. Scores for lost games do not count toward Team/Team Owner’s Total Score on the Leaderboard. Each Team/Team Owner will only have one entry for the Total Score on the Leaderboard per GameDay, regardless of the number of Qualifying Wins on that day.

Qualifying Games/Wins: All Qualifying Games must be played in five (5) minute quarters, Superstar difficulty and Simulation Game Style. Only games started and completed within the scheduled times will qualify as a Qualifying Game. Once a game has started, Team/Team Owners that do not complete the game will be credited with a loss and will be ineligible to play additional Qualifying Games on that GameDay. The Teams/Team Owners with the top three (3) Total Scores for each platform (three (3) for XBO and three (3) for PS4) at the conclusion of each GameDay will advance to the Tournament (subject to confirmation of eligibility and compliance with these Rules). Team Total Scores will be reset to zero (0) at the start of the next GameDay.

Wild Card: Teams with the highest single GameDay Total Score for each platform (XBO and PS4) during the Qualifying Rounds that did not already qualify for the Tournament will be eligible for consideration for the Wild Card spot. After the final Qualifying GameDay Round is complete, the Team/Team Owners for each platform (one (1) for XBO and one (1) for PS4) with the highest single Gameday Total Score during the Qualifying Rounds that did not previously qualify for the Tournament will qualify for the Tournament as a Wild Card Qualifier. The Wild Card Qualifiers will each receive the 16th and final seed in their respective console Tournament Brackets.

Tiebreakers: If a GameDay or Tournament seeding results in a tie, a winner will be determined based on the following criteria in the following order (to the extent necessary):

  1. Total game points scored.
  2. Fewest game points allowed.
  3. Highest field goal percentage.
Game Play/Disqualification: Teams may be disqualified if Sponsor detects that Team/Team Owner and all Team Members did not complete the match by quitting, powering down, disconnecting from the internet, being removed for an F Team Member Grade or excessive penalties. For clarity, if the Team/Team Owner and all Team Members disconnect, the Team/Team Owner and all Team Members will be disqualified and banned from that Game Day. A ban would eliminate Team/Team Owner and all Team Members from participating as a Team/Team Owner or a Team Member for any further Qualifying Games on that GameDay. In the event that Team/Team Owner and all Team Members disconnect from the server at any point during a Qualified Game, that Team/Team Owner will be deemed the loser of that Qualifying Game, regardless of whether such disconnection is intentional and/or is the fault of the disconnecting Team/Team Owner and his/her statistics for that Qualifying Game will not count (though the winning Team’s statistics will count for that Qualifying Game).

5. Notification/Team Confirmation: At the conclusion of each GameDay, Sponsor will attempt to contact the Teams/Team Owners of the top three (3) Ranked Teams on the GameDay Leaderboard on each platform (each a “Potential Qualifier”) via email using the address provided by Teams/Team Owner when signing up for a 2K Account, through in-game messaging and/or through console UI. The Team Owner will be required to provide Sponsor with the name, account/Gamertags/PSN IDs, residence and age of each Team Member on the Qualifying Team Roster. Additionally, the Team Owner will be required to verify that Team Members on the Team Roster are not on the Team Rosters of other Potential Qualifiers or GameDay Qualifiers (defined below). A Team Member may only be assigned to one Team Roster of a Potential Qualifier or GameDay Qualifier. If a Team Member is determined to be on the Team Roster of more than one Potential Qualifier or GameDay Qualifier, then such Team Member shall be disqualified. If a Team Member is disqualified or ineligible, such Team Member may not be replaced on the Qualifying Team Roster unless the Team has fewer than five (5) eligible Team Members (including the Team Owner). If due to disqualifications and ineligibility of Team Members, a Team has fewer than five (5) eligible Team Members (including the Team Owner), then the Team Owner may invite eligible Team Members to join the Qualifying Team Roster until the Qualifying Team Roster includes five (5) eligible Team Members (including the Team Owner). Teams/Team Owners will be required to respond to Sponsor’s request within three (3) calendar days of notification unless Sponsor has designated another time frame.

If any Potential Qualifiers do not respond within the time frame designated by Sponsor, do not have five (5) eligible Team Members (including the Team Owner), or do not comply with these Official Rules in the sole opinion of Sponsor, the Team’s/Team Owner’s Tournament spot may be forfeited and Sponsor may award the spot to next highest ranked Team/Team Owner on that GameDay’s Leaderboard (time permitting).

Upon verification of eligibility by Sponsor and compliance with these Official Rules, the Potential Qualifiers will be officially deemed GameDay Qualifiers. GameDay Qualifiers are ineligible to compete in the remaining GameDays.

6. The Tournament. The thirty-two (32) GameDay Qualifiers (sixteen (16) for XBO and sixteen (16) for PS4) will compete in the Tournament scheduled to take place on February 4, 2017 and February 11, 2017. There will be separate 16-bracket Tournaments for XBO and for PS4 GameDay Winners. Tournament Teams: Once a Team/Team Owner is officially deemed to be a GameDay Qualifier (each a “Tournament Team”), the eligible Team Members and Team Owner on the Qualifying Team Roster (“Tournament Team Roster”) (including players, player ratings, appearance, attribute boosts, badges and any other distinguishing trait that a Player has applied to his MyPLAYER) and team branding will be locked for the duration of the Tournament. Team Owners and Team Members may not play on multiple Tournament Teams regardless of the platform. If a Team Owner or Team Member is found to be playing on multiple Tournament Teams, then such Tournament Teams shall be disqualified. If a Team Owner or Team Member is listed on the Tournament Team Roster of multiple Teams, but has not yet played any Tournament Games, then such Team Owner or Team Member shall be disqualified. Team Owners may use any combination of four (4) designated Tournament Team Members from the Tournament Team Roster in addition to Team Owner for each Tournament game, but the four (4) Team Members who play in the Tournament Bracket Final game on February 11, 2017 must be the same four (4) Team Members who play in the Contest Final on February 16, 2017. A.I. Team Members may not be used for the Tournament. If a GameDay Qualifier Team/Team Owner is unavailable for the Tournament, the Tournament spot will be forfeited and may be awarded to the next highest ranked Team on that GameDay’s Leaderboard (time-permitting). If fewer than four (4) designated Tournament Team Members from the Tournament Team Roster (not including the Team Owner, who must compete in all Tournament games) are available for any Tournament game (after designation), the Tournament spot may be forfeited and awarded to the next highest ranked Team on that GameDay’s Leaderboard (time-permitting). Replacement decisions based on forfeitures shall be determined by Sponsor in its sole and absolute discretion.

Tournament Bracket: The thirty-two (32) Tournament Teams will be placed in two (2) Tournament Brackets consisting of 16 Tournament Teams for each platform (XBO or PS4). For clarity, one (1) Tournament Bracket will consist of 16 Tournament Teams on the XBO platform and one (1) Tournament Bracket will consist of 16 Tournament Teams on the PS4 platform. A Team must compete in Tournament Games (not including the Contest Final that shall be played on the PS4 platform) using the same platform such Team used to qualify for the Tournament. Teams will compete against the other Tournament Teams in their Tournament Bracket in single-elimination format. The sixteen (16) Tournament Teams will be seeded in their respective Tournament Brackets based on their respective platforms (XBO or PS4) and then on their qualifying Score, with the exception of the Wild Card Teams who will automatically receive the 16th seed in their respective bracket regardless of Score. Regular Contest Tiebreakers (as defined in Section 4) will be used.

The winning Tournament Team of each Tournament Game advances to the next round of their Tournament Bracket. The losing Tournament Team of each Tournament Game is eliminated from the Contest. The final game in each Tournament Bracket is the “Tournament Bracket Final.” The Team Owner and the four (4) Team Members who play and win each Tournament Bracket Final (XBO and PS4) (“Winning Tournament Team”) will be eligible to advance to the Contest Finals to take place in New Orleans, Louisiana on or about February 16, 2017 (subject to change by Sponsor in its sole discretion). The Winning Tournament Team of each Tournament Bracket (one (1) winner for XBO and one (1) winner for PS4) will be the potential “Finalist” (subject to confirmation).

All Tournament and Contest Final schedules are subject to change even on a scheduled game day. It is each player's responsibility to frequently check the Site to be informed of any updates to the Tournament and Final schedules.

ALL POTENTIALLY WINNING TOURNAMENT TEAMS AND FINALISTS MUST BE VERIFIED BY SPONSOR TO ENSURE ELIGIBILITY PRIOR TO BEING DECLARED A WINNER AND/OR RECEIVING ANY PRIZE.

Sponsor reserves the right, in its sole and absolute discretion, to conduct background checks on potential Finalists and their Team Members and, for Canadian residents, to ensure that they are able to cross border if selected. Failure to comply with such search may result in disqualification of a potential Finalist, Team Owner and/or any of their respective Team Members (as applicable) and may result in selection of an alternate Finalist (time permitting). Sponsor also reserves the right, in its sole and absolute discretion, to disqualify a potential Finalist or Team Member based on the results of such background check, if the Sponsor determines, in its sole and absolute discretion that awarding this opportunity to such potential Finalist or Team Member might reflect negatively on the Contest, Sponsor, and/or the NBA Entities. Factors that may result in disqualification of a Finalist or a Team Member, include, without limitation, conviction of a felony or misdemeanor, or any other criminal or civil offense as determined in the sole and absolute discretion of the Sponsor or, if Sponsor determines, in its sole and absolute discretion, that awarding a prize to such individual may reflect unfavorably on the Contest, Sponsor, and/or the NBA Entities.

7. Contest Finals. The Winning Tournament Team of each Tournament Bracket Final (one (1) winner for XBO and one (1) winner for PS4) (each winning Team a “Finalist”) will advance with their respective Team Members (each a “Finalist Team Member”) to the Contest Finals to take place in New Orleans, Louisiana on or about February 16, 2017 (subject to change by Sponsor in its sole discretion). If a Team Owner is unavailable for the Finals, the Finalist spot may be forfeited and awarded to the Tournament Runner-up in Finalist’s Tournament Bracket (time-permitting). If a Finalist Team Member is unavailable for the Finals, the Tournament spot may be forfeited and awarded to the Tournament Runner-up based on Sponsor’s sole and absolute discretion (and time-permitting). Replacement decisions based on forfeitures shall be determined by Sponsor in its sole and absolute discretion. The Contest Finals will consist of a single game between Finalists. The winning Team shall be crowned the Contest Champion (subject to confirmation and compliance with these Official Rules). THE CONTEST FINALS WILL BE PLAYED ON THE PS4 PLATFORM.

8. Contest Play. Teams/Team Owners and Team Members must strictly adhere to all game play guidelines and these Official Rules or risk the possibility of disqualification.

Teams/Team Owners and Team Members must conduct themselves in a sportsmanlike manner, maintaining a friendly and polite demeanor to competitors and to other participants of the Contest. Teams/Team Owners and Team Members who engage in unsportsmanlike, disruptive, annoying, harassing or threatening conduct or violate any rule, gain unfair advantage in participating in the Contest, or obtain winner status using fraudulent means, in Sponsor’s sole discretion, will be disqualified. Teams/Team Owners and Team Members who violate the Microsoft Services Agreement, the PlayStation Network Terms of Service and User Agreement, or any other terms of use for the platforms may be disqualified in Sponsor’s sole discretion. Sponsor will interpret these Rules and resolve any disputes, conflicting claims or ambiguities concerning the Rules or the Contest and the Sponsor’s decisions concerning such disputes shall be final. Sponsor may prohibit a Team/Team Owner or Team Member from participating in the Contest or winning a prize if, in its sole discretion, Sponsor determines that said Team/Team Owner or Team Member is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other players or Sponsor’s representatives.

Contest Administrators, in their sole discretion, reserve the right to change the Score or points of a Contest game. Additionally, Contest Administrators, in their sole discretion, reserve the right to disqualify or remove any Team/Team Owner, Team Member or Tournament Team for any reason. This decision could be made based on the Administrator’s judgment that the game reported the result incorrectly or the players tampered with the game software or hardware to manipulate the reported points or score.

9. Contest Prizes. The Team Owner and four (4) Team Members (five (5) people per Team total) of both Winning Tournament Teams (collectively, “Finalist Winners”) will receive a trip to the Contest Finals (“Finalist Prize”), which, at a minimum, consists of a four (4) day/four (4) night trip to New Orleans, Louisiana (subject to change by Sponsor in its sole discretion) to compete in the Contest Finals. Trip includes round-trip coach airfare from major gateway airport near Finalist Winners’ residences and single occupancy hotel accommodations (except if Finalist Winner is a minor and then double occupancy hotel accommodations for minor or minor’s parent or guardian). Finalist Winners must travel on a date determined by Sponsor in its sole and absolute discretion, which is expected to be between February 12, 2017 and February 20, 2017, or on other dates designated by Sponsor, or prize may be forfeited. Failure to appear at the Contest Finals on dates and times designated by Sponsor will result in forfeiture of prize and disqualification from Contest, all as determined by Sponsor in its sole and absolute discretion. In the event of forfeiture, no compensation will be provided. If a Finalist Winner is considered a minor in his/her jurisdiction of residence, Finalist Winner must be accompanied by his or her parent or legal guardian. Finalist Winner and parent or legal guardian (if a minor) must travel on the same itinerary and parent / legal guardian and any guests must sign travel/liability/publicity release prior to ticketing. In order to attend the Contest, Finalist Winners and any guests (if applicable) must agree to sign such release and to be videotaped, photographed, streamed and recorded by Sponsor Parties. Approximate Retail Value of each Finalist Prize: $1,800 (US Dollars)/$2,383 CDN, but actual value may vary depending on air flight fluctuations, distance between departure and destination. Finalist Winners will not receive difference between actual and approximate retail value. Limit one (1) Finalist Prize per person.

Sponsor has the right to use all Finalist Team names, logos and uniforms in its advertising, marketing and publicity materials in its sole discretion. In addition, Sponsor has the right to require a Finalist Team to change its name, logo and/or uniform if such name, logo or uniform is deemed inappropriate or could violate the right of any third party, including, but not limited, to copyright, trademark or right of publicity or privacy rights, as determined by Sponsor in its sole discretion. Failure to comply with Sponsor’s request to change team name, logo and/or uniform in a timely manner may result in disqualification, in Sponsor’s sole and absolute discretion.

10. Grand Prize: The Contest Champion Team/Team Owner that wins the Contest in accordance with these Official Rules, as determined by Sponsor in its sole and absolute discretion, will receive two hundred and fifty thousand dollars $250,000 (U.S.)/$330,900 CDN (“Grand Prize”), which will be divided by Sponsor amongst the five (5) members of the winning Contest Champion Team (each a “Grand Prize Winner”). Each Grand Prize Winner shall receive a check for $50,000 (U.S.).

Each Grand Prize Winner will also receive one (1) ticket to 2017 NBA All-Star Weekend events (“Events”) at Smoothie King Center in New Orleans, Louisiana, including the All-Star Saturday Night and the NBA All-Star Game (“All-Star Prize”) (except that Grand Prize Winners who are minors will receive an additional ticket for the parent or legal guardian who has accompanied them to the Contest Finals). To accept the All-Star Prize, each Grand Prize Winner will be required to remain in New Orleans until Monday, February 20, 2017.

Grand Prize Winner must travel on a date determined by Sponsor in its sole and absolute discretion or the All-Star Prize may be forfeited. Grand Prize Winner may be required to stay additional days in the location of the Contest (accommodations provided by Sponsor) and participate in certain public relations events, as determined by Sponsor in its sole and absolute discretion. The total Approximate Retail Value of the Grand Prize is $263,000 US/$348,000 CDN, but actual value may vary depending on air flight fluctuations, distance between departure and destination. Grand Prize Winners and Finalist Winners will be referred to herein each as a “Winner” or collectively as “Winners”.

RUNNER-UP PRIZE: The Finalist Team that loses the Contest Finals in accordance with these Official Rules, as determined by Sponsor in its sole and absolute discretion, will be declared the “Runner-Up,” and the Team Owner and each Team Member of such losing Finalist Team (each a “Runner-Up Team Member”) will receive one (1) ticket to the NBA All-Star Saturday Night at Smoothie King Center in New Orleans, Louisiana on Saturday, February 18, 2017 (“Runner-Up Prize”) (except that Runner-Up Prize Winners who are minors will receive an additional ticket for the parent or legal guardian who has accompanied them to the Contest Finals). To accept the Runner-Up Prize, each Runner-Up Prize Winner will be required to remain in New Orleans until Sunday, February 19, 2017. The Approximate Retail Value of each Runner-Up Prize is $150 US/$200 CDN and the total Approximate Retail Value of the Runner-Up Prizes is $750 US/$992 CDN.

FOR ALL EVENT PRIZES: The terms and conditions of any Event tickets awarded will govern if any of the Events do not take place due to weather, an act of God, threat or act of terrorism, civil disturbance or any other reason. Event tickets are subject to certain terms and conditions. Seat locations will be determined by the Sponsor. The Released Parties (defined below), and/or any other relevant party, reserve the right to remove or to deny entry to any Winner or guest who engages in a disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person at the Events. Cash cannot be substituted for any ticket prize unless otherwise agreed by the Sponsor. Unused tickets cannot be refunded, exchanged for cash or applied towards tickets for any subsequent years. No responsibility is assumed by the Released Parties for any cancelled, rescheduled, delayed or postponed Event.

MINOR PRIZE: If Grand Prize Winner is a minor in his or her jurisdiction of residence, Sponsor may make payment with respect to the monetary Grand Prize to such minor by depositing the amount of the prize in any bank to the credit of any adult member of the minor’s family or guardian of the minor as custodian for such minor in accordance with the provisions of the Uniform Transfers to Minors Act as adopted in the state where the adult resides or where the account is opened (or, if Grand Prize Winner is a Canadian resident, any analogous act or statute under Canadian law). In such event, Sponsor shall be discharged of all further liability upon payment of prizes to a minor in accordance. Sponsor may withhold prize payment until satisfactory evidence, including, but not limited to, notarized statements, or other evidence of family relationship, guardianship, custodianship, or other matter deemed appropriate, is established on behalf of the minor.

FOR ALL TRIP PRIZES: Taxes, meals, gratuities, travel upgrades, or any other expenses not specifically listed herein are the responsibility of the Finalists. Travel and accommodations subject to availability; certain restrictions and blackout dates may apply. Sponsor and the other Released Parties are NOT liable for delays, cancellation or unforeseen events related to the flights. Finalists and parent or legal guardian (if a minor) will be solely responsible for obtaining valid identification (e.g., passports) relating to acceptance and use of the travel prize packages. Winners and parent or legal guardian (if a minor) will be solely responsible for obtaining valid identification relating to acceptance and use of the travel prize packages. If in the judgment of Sponsor, air travel is not required due to Finalist’s proximity to prize location, ground transportation will be substituted for roundtrip air travel at Sponsor’s sole and absolute discretion. Finalists will not receive difference between actual and approximate retail value. Sponsor will not replace any lost or stolen prize and/or any lost, mutilated or stolen tickets, travel vouchers or certificates.

FOR ALL PRIZES: Approximate Retail Value of all prizes combined: $272,500 US/$360,000 CDN. All Finalists will be required to complete and return documents, including an Affidavit/Declaration of Eligibility and Liability/Publicity release and rights transfer document, and appropriate tax forms to receive the prize. If a Finalist is considered a minor in his/her jurisdiction of residence, his/her parent or legal guardian will have to execute the required documents. As a condition of awarding a prize, Finalist will be required to execute the Affidavit/Declaration of Eligibility and Liability/Publicity and return to Sponsor within the time frame designated by Sponsor. Failure to return such documents in the time frame required by Sponsor may result in forfeiture of prize. Finalists are responsible for ensuring return of all required materials; proof of sending will not be considered proof of receipt by Sponsor.

If any prize or prize notification messages are returned as undeliverable, or a Finalist does not respond in the time frame required by Sponsor, or refuses to execute the required documents, or rejects his/her prize (or any part thereof), or in the event of noncompliance with these Official Rules or Contest requirements, the prize will be forfeited and may be awarded to the next runner-up, as determined by Sponsor in its sole and absolute discretion. In the event of prize forfeiture, no compensation will be given.

Prizes are not transferable. No substitutions or exchanges of any prize will be permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value for any prize.

All Prizes and all parts thereof are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose), except where prohibited by law. ALL FEDERAL, STATE, PROVINCIAL AND LOCAL TAXES ASSOCIATED WITH THE PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNERS AND CANADIAN WINNERS WILL BE REQUIRED TO REPORT AND PAY ANY INCOME TAXES RELATED TO THE PRIZE.

11. Collection of Information. Sponsor will be collecting personal data about players (including Team Owner’s and Team Members) online, in accordance with Sponsor’s privacy policy. Please review the Sponsor’s privacy policy at http://www.2ksports.com/info/privacy. By participating in the Contest, players hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s privacy policy.

12. General Release. BY PARTICIPATING IN THE CONTEST, ALL PLAYERS (AS WELL AS THEIR PARENT OR LEGAL GUARDIAN IF A MINOR), TEAM OWNERS, TEAM MEMBERS, AND WINNERS RELEASE THE SPONSOR, THE NBA ENTITIES, ALL OTHER SPONSOR PARTIES, AND ANY OF THEIR RESPECTIVE PARENT COMPANIES, SUBSIDIARIES AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, SPONSORS, AND AGENTS, INCLUDING ADVERTISING AND PROMOTION AGENCIES (“RELEASED PARTIES”), FROM ANY AND ALL LIABILITY, FOR LOSS, HARM, DAMAGE, INJURY, COST OR EXPENSE WHATSOEVER INCLUDING, WITHOUT LIMITATION, PROPERTY DAMAGE, PERSONAL INJURY AND/OR DEATH WHICH MAY OCCUR IN CONNECTION WITH, PREPARATION FOR, TRAVEL TO, OR PARTICIPATION IN CONTEST OR POSSESSION, ACCEPTANCE AND/OR USE OR MISUSE OF PRIZE OR PARTICIPATION IN ANY CONTEST-RELATED ACTIVITY AND FOR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, INVASION OF PRIVACY, COPYRIGHT INFRINGEMENT, TRADEMARK INFRINGEMENT OR ANY OTHER INTELLECTUAL PROPERTY-RELATED CAUSE OF ACTION, AND AGREE NOT TO MAKE ANY CLAIMS AGAINST THE RELEASED PARTIES IN RESPECT THEREOF, INCLUDING, WITHOUT LIMITATION (I) ANY CONDITION CAUSED BY EVENTS BEYOND SPONSOR'S CONTROL THAT MAY CAUSE THE CONTEST TO BE DISRUPTED OR CORRUPTED; (II) ANY INJURIES, LOSSES, ILLNESS, LITIGATION OR DAMAGES (COMPENSATORY, DIRECT, INCIDENTAL, CONSEQUENTIAL OR OTHERWISE) OF ANY KIND ARISING OR RESULTING, IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE AWARDING, DELIVERY, ACCEPTANCE, USE, MISUSE, POSSESSION, LOSS OR MISDIRECTION OF A PRIZE OR PARTICIPATION IN THIS CONTEST OR IN ANY ACTIVITY OR TRAVEL RELATED THERETO OR FROM ANY INTERACTION WITH, OR DOWNLOADING OF, COMPUTER CONTEST INFORMATION; AND (III) ANY PRINTING OR TYPOGRAPHICAL ERRORS IN ANY MATERIALS ASSOCIATED WITH THE CONTEST. Sponsor's decisions in all respects relative to the Contest are final. Each Winner’s acceptance of a prize constitutes the grant of an unconditional right for the Released Parties to use winner’s name, address (city and state/province/territory only), likeness, photograph, biographical and prize information and/or statements about the promotion for any publicity, advertising and promotional purposes without additional compensation, except where prohibited by law, and releases the Released Parties from any liability with respect thereto.

13. General Conditions. By entering the Contest, all players (and their parent/legal guardian if a minor) accept and agree to be bound by these Official Rules and the decisions of the Sponsor. No automated entry devices and/or programs permitted. All entries become the sole and exclusive property of the Sponsor and receipt of entries will not be acknowledged or returned. Proof of submission will not be deemed to be proof of receipt by Sponsor. In case of dispute of the identity of any winner, entries will be declared made by the authorized account holder of the email address provided at time of entry. “Authorized account holder” is defined as the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted email address. Released Parties are not responsible for technical, hardware, software, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, web site, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one’s ability to enter the Contest, including any injury or damage to player’s or any other person’s computer relating to or resulting from participating in this Contest or downloading any materials in this Contest. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Contest should (in its sole discretion) virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Contest. In such case, Sponsor may select the winners from all eligible entries received prior to and/or after (if appropriate) the action taken by Sponsor. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Contest or any web sites, platforms or consoles associated with this Contest. Sponsor may prohibit a Team Owner or Team Member from participating in the Contest or winning a prize if, in its sole discretion, it determines that said player is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, or other unfair playing practices (including but not limited to the use of automated entry programs, the use of automated entry devices, playing through the use of multiple 2K Sports accounts, or by participating in, or benefiting from, a syndicate, group or block playing process or system), or intending to annoy, abuse, threaten or harass any other players or Sponsor representatives.

CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITES, PLATFORMS OR CONSOLES ASSOCIATED WITH THIS CONTEST OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

14. Additional Conditions. Except where prohibited by law, by accepting any prize, Winner consents to the use of his/her name, photo and/or likeness, biographical information, winning entry and statements attributed to winner (if true) for advertising and promotional purposes without additional compensation.

15. Disputes. Except where prohibited by law: (a) As a condition of participating in this Contest, players agrees that any and all disputes which cannot be resolved between the any of the Released Parties and player or his/her representatives, claims and causes of action arising out of or connected with this Contest, or any prizes awarded, or the determination of winners shall be resolved individually, without resort to any form of class action exclusively by arbitration pursuant to the commercial arbitration rules of the American Arbitration Association, then effective; (b) Further, in any such dispute, under no circumstances will player be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than player's actual out-of-pocket expenses (e.g., costs associated with entering this Contest), and player further waives all rights to have damages multiplied or increased; and (c) The arbitration shall be conducted in the State of New York, in the City of New York, County of New York, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

16. Governing Law and Jurisdiction. This promotion is governed by U.S. and Canadian law and is subject to all applicable federal, state and local laws and regulations. Void where prohibited by law. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of player and Sponsor in connection with this Contest, shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to the conflict of laws rules thereof, and any matters or proceedings which are not subject to arbitration as set forth in Disputes section of these Official Rules, shall take place in the courts of the State of New York, in the City of New York, County of New York.

17. Miscellaneous. The invalidity or unenforceability of any provision herein shall not affect in any way the validity and enforceability of any other provision in these Official Rules.
